There is no explicit requirement to disclose Rule 10b5-1(c) trading plans. Nevertheless, some disclosure may be advisable in order to anticipate questions about insider sales and increase the likelihood that the existence of a plan will be noticed in a securities class action lawsuit. Increasingly, issuers and their officers and directors are choosing to make disclosure about trading plans or other stock sale-related circumstances. Other issuers are publishing their corporate insider trading policies.
This tables lists the disclosures I have found to date so as to provide a resource for persons considering such disclosure. Note that there are no som many references to 10b5-1(c) trading plans in Form 4s that I have stopped recording those dislcosures. As Internet links tend to disappear over time, I have switched to all PDF files or HTML files. Where a link is blank, it is to a file I am converting to PDF for upload.
